Form for Making Deed for Church Property.

Make the deed to A. B. C. and D. (or as many trustees as you may find convenient), Trustees, and the survivors, or survivor of them, and their successors, respectively, to be held by them or the survivors or survivor of them, or their successors, respectively, as a place of public worship, for the use and benefit of the congregation worshipping in the building now erected or which may hereafter be erected thereon according to the Doctrine, Discipline and Worship of the Protestant Episcopal Church in the United States of America, under the Constitution and General Canons of said Church, and also under the Constitution and Canons of the Diocese of Southern Virginia, or such Diocese as may hereafter have jurisdiction over the said place of public worship.

Act of Incorporation.

An Act Incorporating the Trustees of the Protestant Episcopal Church in the Diocese of Southern Virginia.

Approved February 22, 1894.

Whereas, the members of the Protestant Episcopal Church in that portion of the Commonwealth of Virginia comprising the Diocese of Southern Virginia, have received from contributions and other sources certain funds for the support of their disabled clergy, the widows and orphans of their deceased clergy, the episcopate of said church within the Diocese aforesaid, and for other charitable purposes of said Church in said Diocese; and, whereas, in order to successfully administer said funds and such additions thereto as may hereafter accrue or be made, it is needful to create a corporation which shall receive, hold and administer the same; now, therefore,

1. Be it enacted by the General Assembly of Virginia: That Right Reverend Alfred M. Randolph, Reverend O. S. Barten, Reverend J. R. Hubard, Reverend John D. Powell, Reverend James B. Funsten, Reverend A. S. Lloyd, and Messrs. W. F. Irvine, R. C. Taylor, L. R. Watts, Walter H. Taylor, B. A. Marsden, Frederick S. Taylor and W. B. Martin, and their successors, be and they are hereby, constituted a body politic and corporate by the name and style of "The Trustees of the Funds of the Protestant Episcopal Church, in the Diocese of Southern Virginia," and by that name shall have perpetual succession and a common seal, and may sue or be sued, with power to take, receive and hold, to themselves and their successors, all the funds hereinbefore mentioned and referred to, together with all further subscriptions, gifts and contributions, however derived, for the purpose of providing for the disabled clergy, the widows and orphans of the deceased clergy, the support of the episcopate, and for any other charitable purpose of said Church in said Diocese, and the same to invest, hold, distribute and apply for the purpose aforesaid, but subject to the control of the council of the said Protestant Episcopal Church in the Diocese of Southern Virginia, as it shall be from time to time constituted: provided that the value of the property so held shall not exceed at one time for each of said funds the sum of five hundred thousand dollars.

2. That the said trustees and their successors shall have power to appoint from their numbers such officers and committees (under such rules and by such means as they may adopt) as shall be necessary and proper for the due management, control and administration of

the funds and other property committed to the said corporation for the purpose aforesaid and may invest the said officers and committees with such powers as the said corporation shall deem best adapted to accomplish the objects and purposes of this act.

3. That the said trustees shall have power to make and establish from time to time such by-laws and regulations not contrary to the directions of said Council, the laws of this Commonwealth, or of the United States, as they may deem proper for the management of said corporation, and best fitted to accomplish its objects and purposes; and a majority of said board of trustees shall constitute a quorum for the transaction of business.

4. That the said trustees shall have power to fill any vacancy which may occur in their body, arising from death, resignation, or inability or refusal to act, removal from this Commonwealth, or other cause declared by the by-laws sufficient to create a vacancy; provided, that such vacancy shall be filled by the selection of one or two or more persons nominated therefor by the said Council; and provided that in case no such nomination be made by said Council at its next meeting, after receiving notice of such vacancy, then said trustees may fill such vacancy, and upon any successor elected under the provisions of this act shall be conferred the same powers and imposed the same duties as if his name had been mentioned as one of the incorporators.

5. The said trustees shall submit annually to the said Council a full statement and report of the funds in their hands or under their charge, and of their transactions during the past year.

6. This act shall be in force from its passage.

BEQUESTS.

For the benefit of those desiring to bequeath by will, moneys or other property, for the benefit of the Church in this Diocese, the legal title of the corporation qualified to receive them is herewith given:

For the Widows' and Orphans' Fund, Disabled Clergy Fund, Episcopal Fund, or other objects within the Diocese, bequests may be made to "THE TRUSTEES OF THE FUNDS OF THE PROTESTANT EPISCOPAL CHURCH IN THE DIOCESE OF SOUTHERN VIRGINIA," stating further the objects to which it is desired that the bequest shall be applied.

FORM OF BEQUEST FOR ENDOWMENT.

I hereby give and bequeath to the Trustees of the Funds of the Protestant Episcopal Church, in the Diocese of Southern Virginia, the sum of.. dollars, to be held by the said trustees as a part

of the Endowment Fund in said Diocese.
