Einleitung 1.1. Problemstellung Das US-amerikanische Wirtschaftsmodell basiert grundlegend auf den freien und selbstregulierenden Kräften des Marktes. Dieses freie, marktwirtschaftliche Modell mit seinen Selbstregulierungsmechanismen scheint jedoch, so zeigen es die Bilanzierungsskandale um Enron, WorldCom und weiterer Großkonzerne, in einigen Fällen keinen ausreichenden Schutz für Anleger zu bieten. An den US-Börsen wurden innerhalb von 9 Monaten durch Betrügereien und andere unlautere Machenschaften Unternehmenswerte von mehreren hundert Mrd USD vernichtet. Durch die Verunsicherung der Anleger aufgrund gefälschter Bilanzen, falscher Prüftestate und maßlos überzogener Quartalsprognosen beginnt eine zunehmende Kapitalflucht von den Finanzplätzen der Welt. Das Vertrauen der Anleger in das Zahlenwerk der Manager ist massiv gestört. Diesen Vertrauensverlust zum Anlass, sieht sich die amerikanische Regierung genötigt, schärfere Gesetze zum Schutze der Investoren zu erlassen. In kürzester Zeit beschließt der amerikanische Kongress im Sommer ein Gesetz zur Reform der Wirtschaftstandards. Das Sarbanes-Oxley-Gesetz soll die Qualität der Unternehmensberichterstattung und der Wirtschaftsprüfung erheblich verbessern. Es soll den Anlegerschutz verbessern und sieht härtere Strafen für potentielle Bilanzfälscher und ihre Handlanger vor. Manager sollen mit dem Gesetz von kriminellen Machenschaften abgeschreckt werden. 1.2. Zielsetzung und Aufbau der Arbeit Diese Diplomarbeit soll sich mit den Umständen und Gründen des Entstehens des Sarbanes-Oxley-Gesetzes beschäftigen. Weiterhin sollen die einzelnen Bestimmungen kurz erläutert und etwaige Diskussionspunkte mit Regelungen anderer Wirtschaftssysteme aufgezeigt werden.
